Pinsent Masons advises Bestinver Infra FCR on Irish toll road share purchase deal

22 Sep 2023 | 03:43 pm | 1 min. read

Multinational law firm Pinsent Masons has advised Bestinver Infra, FCR, on the acquisition of an interest in N6 (Concession) Holdings Limited and N6 (Operations) Limited from Sacyr Concessions Limited.

These N6 companies operate and manage the N6 motorway which runs from Ballinasloe to Galway in Ireland pursuant to a PPP Contract with Transport Ireland Infrastructure (formerly the Irish National Roads Authority) dated 4 April 2007.

Bestinver Infra, FCR is a private equity fund based in Madrid, which provides institutional and private investors with direct access to high quality infrastructure assets in Europe, Latin America and North America.

Following the agreement to acquire Sacyr’s interest in the N6 asset in October 2022, Pinsent Masons teams in London, Madrid, Dublin and Edinburgh have worked with the Bestinver team towards completion of the purchase on 15th September 2023.

The Pinsent Masons team acting on the transaction was led by Sonal Shah, Infrastructure Projects Partner in London, with assistance from Dorian Rees in Dublin, and involved a multi-jurisdictional and skillset team from across the firm including the firm’s corporate team in Madrid, the corporate team in Ireland and the PPP/project finance team in the UK.

Sonal Shah, Partner at Pinsent Masons, said: "This has been Bestinver’s first acquisition of an infrastructure asset in Ireland, and so it was key that we applied our whole asset lifecycle approach for infrastructure and PPP to this transaction. Working on a cross-border basis and drawing together our expertise across corporate, infrastructure projects and project finance, we were able to visualise the whole journey for Bestinver, and deliver a successful outcome.”
